These terms govern authorised access to and use of the LenzIQ
cloud platform.

Please read these terms carefully.
These End User Terms apply where access to LenzIQ is provided
through a manufacturer, integrator, reseller, CCTV tower operator,
security provider, client organisation or another authorised
provider. They do not replace the commercial agreement between LenzIQ and the
organisation through which your access is provided.

 

1. Who these terms are with

1.1 These End User Terms are between LenzIQ Technologies Limited
(“LenzIQ”, “we”, “us”) and the individual or organisation accepting
them (“you”).

If you accept these terms on behalf of an organisation, you confirm
that you have authority to bind that organisation.

1.2 Your commercial arrangement for tower rental, security services,
equipment or software may be with your Provider rather than LenzIQ.
These terms do not replace that commercial agreement and do not make
LenzIQ responsible for the Provider’s goods, services, pricing,
monitoring or response obligations.

1.3 Your right to use the Service depends upon the Provider or other
contracting customer maintaining an active LenzIQ subscription and
authorising your access.

2. The Service

2.1 LenzIQ provides a hosted management and visibility platform for
CCTV towers and related security devices. Functions may include fleet
and device management, video, alerts, reports, incident records and
integrations where enabled.

Important security notice.
The Service assists with the management and visibility of security
systems. Unless separately agreed in writing, LenzIQ is not an Alarm
Receiving Centre, emergency service, guarding service or insurance
product and does not guarantee that an incident, equipment failure,
crime or loss will be detected, prevented or responded to.

2.2 Security equipment, mobile and internet connectivity, APIs and
third-party systems can fail or become unavailable. You and your
Provider remain responsible for appropriate site security, response
arrangements and business continuity.

3. Accounts and acceptable use

You must:

  • provide accurate account information;
  • keep login credentials confidential;
  • use multi-factor authentication where offered or required;
  • only access sites, units and information you are authorised to access;
  • comply with your organisation’s security and privacy requirements; and
  • notify your Provider or LenzIQ promptly if you suspect unauthorised access.

You must not:

  • attempt to access another customer’s environment;
  • circumvent permissions or technical limitations;
  • introduce malware;
  • perform unauthorised penetration, load or security testing;
  • scrape the Service;
  • reverse engineer the Service except where a right cannot legally be excluded; or
  • use non-public LenzIQ technology to create or assist a competing software service.

4. Intellectual property

LenzIQ and its licensors own all intellectual property rights in the
Service, including the software, documentation, APIs, SDKs, schemas,
connectors, integration mappings, database structures, templates and
platform logic.

We grant you a limited, non-exclusive, non-transferable and revocable
right to use the Service for authorised business purposes while your
access remains valid.

No source code or ownership rights transfer to you.

5. Video storage and retention

Where cloud storage is enabled, each licensed LenzIQ Registered Unit
normally includes up to 250 GB of video and media storage.

Storage is allocated per Registered Unit and is not pooled between
units. Standard retention is limited to a maximum of 30 days.

The standard allowance is intended for:

  • alarm recordings;
  • event footage;
  • incident evidence;
  • snapshots; and
  • manually retained clips.

Continuous cloud recording is not included as standard.

LenzIQ may automatically remove video or media when its applicable
retention period expires. You should download or otherwise preserve
evidence required beyond that period.

6. Third-party systems

The Service may connect with cameras, routers, VMS platforms,
monitoring systems, cloud services, ONVIF services and third-party
vendor APIs.

Those services remain subject to their suppliers’ availability,
licences, authentication requirements, firmware and technical
changes.

LenzIQ may modify or discontinue an affected integration where a
third-party dependency is withdrawn or becomes technically or
commercially unreasonable to maintain.

7. Data protection and privacy

The organisation that determines why and how CCTV or other personal
data is processed will normally be the controller.

Depending on the supply chain, your Provider and LenzIQ may act as
processor or sub-processor.

You must follow the instructions of the relevant controller and must
not use personal data available through the Service for unauthorised
purposes.

8. Availability, support and changes

LenzIQ may update the Service for security, reliability,
interoperability or functionality.

Beta, preview and evaluation functionality may be modified or
withdrawn at any time.

Support should normally be requested through your Provider unless
LenzIQ has agreed to provide support directly.

9. Suspension and ending access

LenzIQ or your Provider may suspend or remove access where your
authority ends, the relevant subscription expires or where suspension
is reasonably necessary for security, contractual, legal or misuse
reasons.

When access ends, you must stop using the Service and must not attempt
to bypass the suspension.

10. Liability and important limitations

Nothing in these terms excludes liability which cannot lawfully be
excluded, including liability for death or personal injury caused by
negligence, fraud or fraudulent misrepresentation.

To the extent permitted by law, LenzIQ is not liable to an individual
user for indirect or consequential loss, loss of profit, revenue,
business opportunity, contracts or anticipated savings arising from
use of the Service.

If you use the Service as part of a business and do not have a
separate direct paid contract with LenzIQ, LenzIQ’s aggregate
liability to you under these End User Terms is limited to
£1,000.

This does not reduce contractual remedies available to the Provider
or contracting customer under its separate commercial agreement with
LenzIQ.

Do not rely on LenzIQ as the sole means of detecting,
preventing or responding to a security incident.

11. General

We may update these terms where reasonably required for legal,
security, technical or operational reasons.

Material changes will be notified through the Service, website or
your Provider where practicable.

These terms and any non-contractual disputes arising from them are
governed by English law and subject to the jurisdiction of the courts
of England and Wales, except where mandatory law requires otherwise.
